Department<\/strong>: Legal & Compliance<\/p>Job Summary:<\/strong><\/p>The Qualified Company Secretary will oversee and manage all aspects of corporate governance, legal compliance, and secretarial responsibilities within the organization. The role will involve ensuring adherence to legal and regulatory requirements, assisting with corporate filings, preparing board meeting agendas, and maintaining statutory records. The ideal candidate will possess strong communication, organizational, and leadership skills to interact effectively with senior management and regulatory authorities.<\/p>
Key Responsibilities:<\/strong><\/p>Secretarial Responsibilities:<\/strong><\/p>\u00b7 Ensure compliance with the provisions of the Companies Act, 2013, and other related corporate laws.<\/p>
\u00b7 Draft, prepare, and review minutes for Board meetings, Shareholders’ meetings, and other company-related meetings.<\/p>
\u00b7 Maintain statutory records, registers, and documents as per the legal requirements.<\/p>
\u00b7 Ensure timely filing of returns with the Registrar of Companies (RoC) and other authorities.<\/p>
\u00b7 Coordinate and assist in the preparation of documents related to the annual reports, corporate governance, and other key filings.<\/p>
\u00b7 Liaise with regulatory authorities, external auditors, and other stakeholders.<\/p>
\u00b7 Organize and attend AGMs, EGMs, and assist in the smooth execution of corporate actions (e.g., mergers, acquisitions, capital raising).<\/p>
Legal Responsibilities:<\/strong><\/p>\u00b7 Advise the management and Board on matters relating to corporate governance, legal compliance, and corporate laws.<\/p>
\u00b7 Ensure that the company complies with SEBI, Stock Exchange regulations, and other legal frameworks in case of listed companies.<\/p>
\u00b7 Assist in drafting and reviewing contracts, agreements, memorandums, and other legal documents.<\/p>
\u00b7 Handle litigation-related matters, working with external counsel and ensuring the company’s interests are safeguarded.<\/p>
\u00b7 Maintain records of all legal agreements and key documents, ensuring proper storage and accessibility.<\/p>
Compliance Responsibilities:<\/strong><\/p>\u00b7 Ensure the company’s operations comply with legal, regulatory, and statutory requirements, including tax laws, labour laws, and industry-specific regulations.<\/p>
\u00b7 Monitor changes in laws and regulations to ensure the company’s practices remain up-to-date.<\/p>
\u00b7 Liaise with external legal advisors for legal audits and opinions.<\/p>
\u00b7 Oversee compliance audits and provide solutions to mitigate non-compliance risks.<\/p>
\u00b7 Coordinate with internal departments to ensure internal compliance systems are maintained and enhanced.<\/p>
Requirement<\/span><\/b>\u00a0<\/span><\/p>Qualifications:<\/p>
o A qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).<\/p>
o Additional qualifications such as a Law Degree or MBA in Legal\/Compliance (preferred).<\/p><\/li><\/ul>
- Experience \u2013 2- 5 years of relevant experience in handling secretarial, legal, and compliance matters, preferably in a corporate setting.<\/span><\/li>
- Experience working with board of directors, senior management, and handling legal documentation for both public and private entities.<\/li><\/ul>
Knowledge<\/strong>:<\/p>\u00b7 Strong knowledge of corporate laws, regulatory frameworks, and securities law (SEBI, Companies Act, 2013, etc.).<\/p>
\u00b7 Sound understanding of corporate governance principles and risk management.<\/p>
\u00b7 Familiarity with company secretarial software and document management systems.<\/p>
Skills:<\/strong><\/p>\u00b7 Excellent communication (verbal and written) and interpersonal skills.<\/p>
\u00b7 Strong organizational skills with an ability to prioritize and manage multiple tasks effectively.<\/p>
\u00b7 Ability to deal with complex issues and find practical solutions.<\/p>
\u00b7 Proficiency in using MS Office Suite, and knowledge of legal research tools and compliance management software.<\/p>
