Job Summary:
The Qualified Company Secretary will oversee and manage all aspects of corporate governance, legal compliance, and secretarial responsibilities within the organization. The role will involve ensuring adherence to legal and regulatory requirements, assisting with corporate filings, preparing board meeting agendas, and maintaining statutory records. Key Responsibilities:
Secretarial Responsibilities:
· Ensure compliance with the provisions of the Companies Act, 2013, and other related corporate laws.
· Draft, prepare, and review minutes for Board meetings, Shareholders’ meetings, and other company-related meetings.
· Maintain statutory records, registers, and documents as per the legal requirements.
· Ensure timely filing of returns with the Registrar of Companies (RoC) and other authorities.
· Coordinate and assist in the preparation of documents related to the annual reports, corporate governance, and other key filings.
· Liaise with regulatory authorities, external auditors, and other stakeholders.
· Organize and attend AGMs, EGMs, and assist in the smooth execution of corporate actions (e.g., mergers, acquisitions, capital raising).
Legal Responsibilities:
· Advise the management and Board on matters relating to corporate governance, legal compliance, and corporate laws.
· Ensure that the company complies with SEBI, Stock Exchange regulations, and other legal frameworks in case of listed companies.
· Assist in drafting and reviewing contracts, agreements, memorandums, and other legal documents.
· Handle litigation-related matters, working with external counsel and ensuring the company’s interests are safeguarded.
· Maintain records of all legal agreements and key documents, ensuring proper storage and accessibility.
Compliance Responsibilities:
· Ensure the company’s operations comply with legal, regulatory, and statutory requirements, including tax laws, labour laws, and industry-specific regulations.
· Monitor changes in laws and regulations to ensure the company’s practices remain up-to-date.
· Liaise with external legal advisors for legal audits and opinions.
· Oversee compliance audits and provide solutions to mitigate non-compliance risks.
· Coordinate with internal departments to ensure internal compliance systems are maintained and enhanced.
Requirement

o Additional qualifications such as a Law Degree or MBA in Legal/Compliance (preferred).
Knowledge:

Experience :3-5 years in the feild of Environment impact assessment / Environmental clearances/ Consent from state pollution control board etc.
• EIA-EC coordinator, Functional area expertise for AP, EB, AQ, WP and SHW etc.
• Project coordination with client, MPCB and MOEFCC
• Site visit for data collection, monitoring, client meeting
• Preparation of ToR and EC application
• Compilation of EIA Reports
• Presentation toEAC/ SEAC/SEIAA/MoEF/ for public hearing
• Attending MOEFCC Expert appraisal meetings, SEAC meetings
• Requisite coordination with MPCB officers for getting consent approved. Preparation and submission of post EC reports
• Preparation of Pollution control adequacy reports.
3-5 years
Any Graduate + MBA (Finance) / Post-graduation or professional degree in Finance
2-3 years in any financial Consultancy or experience in preparation of Financial Models of various Industries, experience in writing Reports namely DPR, TER, TEFR, Information Memorandum, etc.
Commensurate with merit & experience, as well as linked to actual performance.
Qualification–
MBA Marketing or any equivalent master’s in business development, preferably with exposure to financial products
· Experience –
2 / 5 years in marketing of wholesale financial products / experience in Financial Consultancy.
· Expertise in selling the financial products to corporates, interacting, discussing and finalising deals with CFO, CEO and other senior officials in corporates and lenders.
· Fluency in written and spoken English.
· Research emerging markets and customer needs
· Work regularly on generating prospects along with nurturing the leads provided by the company
